Affiliate Agreement

This Affiliate Agreement governs participation in the Sontairo affiliate program operated by Sontairo LLC. By enrolling, you agree to this agreement in addition to the Sontairo Terms of Service and any program terms shown in the affiliate dashboard.

Participation is optional. We may approve, limit, pause, suspend, revoke, or terminate participation at any time if we believe it is necessary to protect Sontairo, customers, payment processors, or the integrity of the program.

You are an independent participant and are not an employee, partner, agent, franchisee, representative, shareholder, officer, or co-owner of Sontairo or Sontairo LLC. You may not state or imply that you have authority to bind us or speak for us unless we separately authorize that in writing.

Referral or promotional activity does not create any ownership interest, equity interest, profit-sharing right, governance right, board right, voting right, fiduciary relationship, or permanent entitlement in Sontairo, Sontairo LLC, or any related business.

Commissions are available only for qualifying referred customers that subscribe to and pay for eligible Sontairo plans through the referral mechanisms we provide. We may define, change, or discontinue qualifying plans, commission rates, limits, caps, maturation periods, and recurrence rules prospectively through the affiliate dashboard or other written notice.

A referral or payment is not eligible for commission if it is fraudulent, self-referred in a prohibited way, generated through abuse, generated through misleading promotion, canceled, refunded, charged back, disputed, unpaid, reversed, or otherwise fails our validation checks.

When a qualifying charge succeeds, Sontairo may prepare a commission entry in your affiliate ledger. Prepared commissions are not owed or payable until they pass validation, fraud review, chargeback protection, refund review, and any payout hold shown in the affiliate dashboard.

Unless the dashboard states a different timing, eligible prepared commissions are paid at the beginning of the following month. We may delay, withhold, cancel, reverse, or mark a commission for review if a refund, chargeback, dispute, failed payment, processor hold, account restriction, suspected abuse, or legal or compliance concern arises before or after payout.

Affiliate payouts are processed through Stripe Global Payouts or another payment provider we choose. You must provide accurate recipient, tax, identity, and payout method information when requested by Stripe or Sontairo. Your ability to receive payouts depends on completing required recipient setup and maintaining an eligible payout method.

We are not responsible for delays, fees, rejections, returns, account restrictions, currency conversions, bank processing times, payout method errors, or compliance reviews caused by Stripe, banks, payment networks, your payout method, or information you provide.

You may not promote Sontairo in a way that:

• is unlawful, deceptive, misleading, abusive, spammy, or infringes another party's rights;
• misrepresents Sontairo pricing, features, warranties, guarantees, ownership, or your relationship with us;
• uses paid ads, domains, social accounts, impersonation, bots, coupon sites, or search terms in a way we prohibit or reasonably object to;
• targets existing customers or creates referrals through self-dealing, fabricated accounts, or artificial traffic;
• violates platform rules, email rules, privacy rules, telemarketing rules, or applicable law.

You are responsible for any taxes, reporting, registrations, consents, disclosures, and legal obligations arising from your promotional activities or commission payouts. We may request information needed for tax, sanctions, anti-money-laundering, fraud, payment, or compliance purposes and may withhold payouts until required information is complete.

We may audit referral activity, commission eligibility, payout status, and promotional conduct. Our records and payment processor records are the authoritative source for program activity unless we determine they contain a clear error.

Fraudulent, deceptive, abusive, or unlawful activity that causes or contributes to damage, chargebacks, fees, lost revenue, reputational harm, or other losses may result in forfeiture or reversal of commissions and may be subject to civil claims, collections, reporting to payment processors, or referral to law enforcement or regulatory authorities where appropriate.

We may update this Affiliate Agreement or the program rules from time to time. Continued participation after an update becomes effective constitutes acceptance of the updated terms. If you do not agree to an update, you must stop participating in the program.

If you leave or are removed from the affiliate program, you will no longer receive payouts for customers who signed up through your referral link. If you later rejoin the program, you will not regain payout eligibility for customers referred before you left or were removed.

You may leave the program at any time. Termination does not affect obligations that accrued before termination, including restrictions on misleading promotion, confidentiality, tax responsibility, reversals, withholding, and indemnification.
